Terms of use

Access to and use of Naquada services, offer terms and users’ rights.

Public document

These terms apply to individual and business users of Naquada. They set out the rules for using its services and the conditions applicable to free or paid offers. A separate agreement or accepted quotation may provide specific terms.

Naquada is a platform for creation, collaboration and automation using, among other technologies, artificial intelligence. These terms apply to all services offered by Naquada and their developments, regardless of how they are accessed, subject to any agreed specific terms.

The features and price of the accepted offer supplement these terms. For business customers, expressly agreed specific terms take precedence in a conflict. Nothing deprives a consumer of applicable mandatory rights.

The privacy policy separately describes the processing of personal data. Accepting these terms is not consent to optional trackers or marketing. The applicable version must be presented to you and accepted when the contract is concluded; subsequent changes are not retroactive.

2Account and access

You must have legal capacity to enter into the contract or have the permission and supervision of your legal representative. Anyone acting for an organisation must be authorised to bind it. Adult features are prohibited for anyone under 18.

Provide accurate information, keep your details up to date and protect your authentication and access credentials. Each person uses their own account; shared or delegated access must comply with the permissions provided by the service. Promptly report suspected unauthorised access to [email protected].

Use requires equipment, software and a connection compatible with the requirements of the chosen service. You bear connection and equipment costs. Trial or experimental access may be subject to conditions and limits disclosed when granted.

3Service and AI limitations

The service’s features, capacities, limits and requirements are described in the applicable offer. Depending on that offer and the intended use, certain operations may require credits or separate charges, whose terms are communicated before you commit.

AI outputs may contain errors, biases or material similar to outputs received by other users. Review them before publication, use or important decisions. They do not replace advice from a qualified professional, particularly in medical, legal or financial matters.

Naquada does not promise a particular creative result or exclusive generated output. This qualification concerning probabilistic results does not remove our obligation to provide a service conforming to its contractual description or statutory warranties.

4Third-party models and services

Some features rely on third-party providers. The data needed to perform them is then transmitted to those providers in accordance with the privacy policy. The providers involved depend on the service used and configuration choices; their selection may be automated.

Providers may apply their own usage, licensing, availability and data-processing rules. Check their suitability for your project, especially commercial or confidential use. We do not guarantee identical training or retention policies across all models.

Naquada remains responsible for its own contractual obligations. Involvement of a third-party provider is not a general exclusion of liability. If a provider change affects a contractual feature, the change rules and warranties below continue to apply.

5Acceptable use and adult content

Use Naquada in compliance with the law, third-party rights and the restrictions applicable to the services you use. Adult-only features, where offered, require your express opt-in. You must be at least 18 and comply with the applicable access conditions and protective measures.

Lawful adult content must remain in appropriate spaces and must not be exposed to minors. Its availability does not permit bypassing the rules below. Report unlawful content to [email protected], identifying its location and the reasons for your report.

  • Do not create, upload or distribute child sexual exploitation material, including generated depictions, or intimate material depicting a real person without their consent.
  • No fraud, impersonation, harassment, threats, unlawful incitement to hatred or violence, invasion of privacy or infringement of intellectual property rights.
  • Do not introduce malware, access other people’s data, misuse keys or bypass billing, quotas, safeguards or access controls.
  • Do not deliberately disrupt the service, send spam or use automation without the required authorisations. Access and exchange methods expressly provided remain available within their stated limits.

6Your content and intellectual property

You retain the rights you hold in the content and materials you provide to the service. You must have the necessary rights and permissions, including for works, trademarks, voices, images and personal data you use.

Solely to provide and secure the service, you authorise Naquada to host, technically copy, process and transmit this content to necessary providers and recipients you choose. This permission does not allow us to sell your creations or use them in our advertising without separate agreement.

Naquada claims no intellectual property ownership of your generated outputs. Their protection, commercial use and any third-party rights depend on the law, your contributions and the selected model’s terms; an output is not automatically protected or free of third-party rights.

Naquada’s software, brand and proprietary elements remain the property of their respective holders. Access grants a right to use the service for the contract term, without transferring the code or brand. Third-party component licences and statutory exceptions, including interoperability exceptions, remain applicable.

7Collaboration, sharing and automated use

You choose who may access your resources and the permissions granted. Before sharing or making anything available, check what information is exposed and what actions are allowed. Someone who legitimately obtains a copy may keep it after sharing is withdrawn.

Operations you authorise, including those triggered automatically or by third parties, may consume resources or credits allocated to you, even while you are signed out. Configure access, monitor consumption and disable operations you no longer need.

When using Naquada to collect or process third-party data, provide the required information and have a lawful basis. If Naquada processes this data on behalf of your business, the arrangements required by Article 28 GDPR must be agreed in an appropriate data-processing agreement.

8Offers, orders, prices and payment

Services may be offered free of charge or for payment, depending on the available offers. Included features, allocated resources, usage limits and any additional services are specified in the accepted offer or quotation. A specific service is included only where expressly agreed.

Before payment, the order summary specifies the essential purchase details, quantities or usage rights, any billing frequency, currency, taxes and total payable. Consumers are informed of the total price including taxes. Your bank may charge separate conversion fees where the payment currency differs from your account currency.

You can correct your order before confirming it with an obligation to pay. The providers identified at checkout process payment using the methods offered; Naquada does not store your full card number. The confirmation and invoice allow you to retain purchase details on a durable medium. Paid access depends on confirmation of successful payment.

9Credits and automatic top-ups

Credits are internal consumption units, not exchangeable monetary value, and are not transferable outside supported features. Consumption depends on the service, selected settings and measured usage, under the terms presented before use. An estimate does not promise a result; you can review your balance and transaction history. Insufficient credits may prevent new operations.

Under standard offers, each credit is valid for three months from its acquisition date. Under an enterprise agreement, this period is one year from the acquisition date of each credit. Any credits unused at the end of their validity period expire. Renewing or ending the subscription does not change their expiry date.

Automatic top-ups are enabled only at your request. They charge the saved payment method according to the settings and within the limits you have accepted, including when you are signed out. You can review these settings and disable top-ups in your account management area; ending your subscription does not remove the need to check this separate setting.

Non-use or an output that does not meet your preferences does not, by itself, entitle you to a refund. This does not limit withdrawal rights, statutory warranties or refunds for unjustified charges. Report an issue with the transaction reference so it can be checked and corrected.

10Term, renewal and cancellation

The term, payment frequency and renewal arrangements are specified in the accepted offer. Where a subscription renews automatically, you can stop renewal using the cancellation functions provided. In the event of cancellation, access to the Service remains active until the end of the period already paid for. No refund, including any partial refund, is provided for this period, except where required by law.

The conditions and effective date of a change of offer are presented before you confirm it. Its effects on the price, allocated resources and any billing adjustments are specified at that time, without retroactively affecting purchased services or credits already acquired.

Downgrading or ending a subscription does not immediately delete your content. Retention and storage limits are distinct from credits. After six months of inactivity on a free account, Naquada reserves the right to delete generated content stored in that account. Contact us to close your account entirely, request return of your content or obtain help with cancellation. Any specific agreement remains governed by its agreed terms.

11Consumers’ right of withdrawal

If you are a consumer, you generally have fourteen days from conclusion of the distance contract to withdraw without giving a reason. Send an unambiguous statement or the form below to [email protected] or Naquada’s registered office. Sending it before the deadline is sufficient.

Naquada refunds amounts due following withdrawal within fourteen days of notification, using the original payment method unless you expressly agree to another method without fees. If, after receiving the required information, you expressly requested that a service start before the withdrawal period ended, the proportionate amount for the service actually provided up to notification of your withdrawal remains payable and is deducted from the refund, under the conditions of Article L. 221-25 of the French Consumer Code.

Where an order is for the supply of digital content without a physical medium, you lose your right of withdrawal for that supply as soon as performance begins, including where it is triggered by using credits, subject to the following conditions: you have given prior express consent to performance starting before the withdrawal period ends, expressly acknowledged the loss of that right and received confirmation of this consent and acknowledgement on a durable medium, such as email, in accordance with Articles L. 221-13 and L. 221-28 of the French Consumer Code.

For a service, the right of withdrawal is lost before the end of the withdrawal period only once the service has been fully performed, provided performance began with your prior express consent and your acknowledgement that you would lose that right upon completion. Accepting these terms, buying or using credits does not, by itself, constitute a waiver for the entire subscription or credit balance.

12Statutory warranties

Naquada is responsible for the statutory conformity warranty for digital content and services under Articles L. 224-25-12 onwards of the French Consumer Code. For continuously supplied services, it covers the entire contractual supply period; one-off supplies are subject to the rules applicable to them.

You may request that the service be brought into conformity free of charge, without undue delay or major inconvenience. The statutory conditions may also entitle you to a price reduction or termination. The statutory warranty against hidden defects remains applicable under its legal conditions.

To exercise these warranties, contact Naquada at [email protected] or its registered office, describing the defect. Limitations related to probabilistic AI, free offers or trials cannot exclude a mandatory warranty.

French statutory notices, reproduced below in French. The first concerns continuous platform access; the second applies where an order covers a distinct one-off supply. Credits are consumption units, not a waiver of warranties. The preceding paragraphs summarise these rights in English.

Le consommateur a droit à la mise en œuvre de la garantie légale de conformité en cas d’apparition d’un défaut de conformité durant toute la période contractuelle de fourniture du service numérique à compter de sa fourniture : un mois pour chaque période d’abonnement standard, y compris chaque renouvellement, et toute la durée de mise à disposition du compte pour l’accès gratuit. Durant ce délai, le consommateur n’est tenu d’établir que l’existence du défaut de conformité et non la date d’apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique durant cette période contractuelle de fourniture.

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

Le consommateur peut obtenir une réduction du prix en conservant le contenu numérique ou le service numérique, ou il peut mettre fin au contrat en se faisant rembourser intégralement contre renoncement au contenu numérique ou au service numérique, si :

  • 1° Le professionnel refuse de mettre le contenu numérique ou le service numérique en conformité ;
  • 2° La mise en conformité du contenu numérique ou du service numérique est retardée de manière injustifiée ;
  • 3° La mise en conformité du contenu numérique ou du service numérique ne peut intervenir sans frais imposés au consommateur ;
  • 4° La mise en conformité du contenu numérique ou du service numérique occasionne un inconvénient majeur pour le consommateur ;
  • 5° La non-conformité du contenu numérique ou du service numérique persiste en dépit de la tentative de mise en conformité du professionnel restée infructueuse.

Le consommateur a également droit à une réduction du prix ou à la résolution du contrat lorsque le défaut de conformité est si grave qu’il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n’est alors pas tenu de demander la mise en conformité du contenu numérique ou du service numérique au préalable.

Dans les cas où le défaut de conformité est mineur, le consommateur n’a droit à l’annulation du contrat que si le contrat ne prévoit pas le paiement d’un prix.

Toute période d’indisponibilité du contenu numérique ou du service numérique en vue de sa remise en conformité suspend la garantie qui restait à courir jusqu’à la fourniture du contenu numérique ou du service numérique de nouveau conforme.

Ces droits résultent de l’application des articles L. 224-25-1 à L. 224-25-31 du Code de la consommation.

Le professionnel qui fait obstacle de mauvaise foi à la mise en œuvre de la garantie légale de conformité encourt une amende civile d’un montant maximal de 300 000 euros, qui peut être porté jusqu’à 10 % du chiffre d’affaires moyen annuel (article L. 242-18-1 du Code de la consommation).

Le consommateur bénéficie également de la garantie légale des vices cachés en application des articles 1641 à 1649 du Code civil, pendant une durée de deux ans à compter de la découverte du défaut. Cette garantie donne droit à une réduction de prix si le contenu numérique ou le service numérique est conservé, ou à un remboursement intégral contre renonciation au contenu numérique ou au service numérique.

Fourniture ponctuelle éventuelle — encadré de l’article D. 211-3

Le consommateur dispose d’un délai de deux ans à compter de la fourniture du contenu numérique ou du service numérique pour obtenir la mise en œuvre de la garantie légale de conformité en cas d’apparition d’un défaut de conformité. Durant un délai d’un an à compter de la date de fourniture, le consommateur n’est tenu d’établir que l’existence du défaut de conformité et non la date d’apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique.

13Personal data and confidentiality

Naquada processes account, billing, usage and support data needed for the service, its security and legal obligations. Content submitted, processed or produced may contain personal data. Avoid submitting sensitive data, secrets or third-party information without necessity, permission and suitable safeguards.

The privacy policy describes collected categories, purposes, legal bases, recipients, retention periods, international transfers, security measures, trackers and your rights. Providers may process data outside the European Economic Area; these terms do not make a general commitment to exclusively European hosting.

Access to non-public information must be limited to people and providers authorised to deliver, secure or support the service, unless you choose to share it or disclosure is legally required. Contact [email protected] to exercise your rights; identification documents are not systematically required, but proportionate additional information may be requested if there is reasonable doubt about your identity.

Closing an account does not immediately erase records legally required to be retained, including accounting documents, or those needed to defend legal claims. Other data follows the purposes and retention periods described in the privacy policy. You may complain to the CNIL if you believe your rights have been infringed.

14Availability, maintenance and support

Naquada uses reasonable efforts to provide and secure the service. Maintenance, incidents or provider outages may interrupt some functions. A quantified availability level, guaranteed response time or dedicated resources apply only where included in a specific commitment.

Experimental features are identified as such and may evolve. Security or compliance interventions may be immediate; changes that materially affect a purchased service follow the rules below. Keep a copy of content essential to your activity; this precaution does not relieve Naquada of its obligations.

Support is available at [email protected]. Describe the problem and, where possible, provide the reference for the operation concerned without sharing your password, card number or secret keys.

15Suspension, closure and return of content

Naquada may restrict affected features for non-payment, breach of usage rules, serious security risk or a legal obligation. Measures must be proportionate. Except in emergencies, where prohibited by law or where checks would be jeopardised, you receive the reasons and an opportunity to remedy or contest the measure through support.

Serious or persistent breach may lead to termination. Suspicion alone does not justify automatic forfeiture of legally refundable amounts. You may request a review and return of your content under applicable law, unless prohibited or infringing another person’s rights.

Before voluntary closure, retrieve the content you wish to keep and review any ongoing commitments and operations. Naquada handles return and erasure requests under the contract, statutory warranties and GDPR. Accrued obligations, confidentiality and intellectual-property rights survive where they must continue after the contract ends.

16Liability and force majeure

Each party is responsible for breaches attributable to it. You are responsible for your use, the rights in your inputs and decisions made using outputs. Naquada is responsible for performing its obligations; using providers does not remove that responsibility.

Consumers are not subject to a general warranty exclusion, business liability cap or commercial late-payment penalty. For businesses, any limitations and penalties are those in a validly accepted specific agreement. They do not cover liabilities that cannot lawfully be limited.

An event meeting the legal criteria for force majeure may suspend the affected obligation under Article 1218 of the French Civil Code. An outage or provider failure is not automatically force majeure. Statutory termination and refund rights are preserved.

17Changes to the service and terms

The accepted terms and prices govern the corresponding order. Material changes and their effective date are communicated on a medium you can retain. They cannot apply retroactively to a service already purchased or be inferred solely from your browsing.

Service changes may address legal, security or technical compatibility requirements or documented changes to features and providers. For consumers, changes beyond what is necessary to maintain conformity must comply with Article L. 224-25-26: no extra cost, appropriate information and, if access or use is adversely affected to more than a minor extent, a right to terminate without charge under the statutory conditions and deadlines.

Invalidity of one clause does not invalidate the others where they can remain in effect. Not immediately exercising a right does not waive it.

18Complaints, mediation and governing law

Send complaints to [email protected] or Naquada, 118 Rue de Cagny, 80090 Amiens, France, specifying your request and relevant references. An attempt at amicable resolution does not remove your right to go to court.

Consumers are entitled to free consumer mediation after a prior complaint, under the statutory conditions.

French law governs the contract without depriving consumers of applicable mandatory protections in their country of habitual residence. Jurisdiction is determined by law; consumers are not required to bring proceedings exclusively at Naquada’s registered office. Translations facilitate reading without reducing these protections.

19Model withdrawal form

Complete and send this form only if you wish to withdraw from the contract. Another unambiguous statement is also sufficient.
